Agreement to Terms

Engagement Terms
Consultation Process
Initial consultations are provided free of charge for evaluation purposes. Professional engagements begin at $200 per hour. Specific project scopes, timelines, and pricing will be outlined in individual service agreements.
Payment Terms
Unless otherwise agreed in writing, invoices are due within 30 days of issuance. Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law.
Project Modifications
Any changes to agreed-upon project scope must be documented in writing and may result in adjusted timelines and pricing.
Intellectual Property
Client Materials
Clients retain ownership of all materials, data, and information provided to Metriv Consulting.
Deliverables
Upon full payment, clients receive ownership of custom deliverables created specifically for their project. Metriv Consulting retains the right to use general methodologies, frameworks, and non-proprietary materials.
Website Content
All content on metriv.io, including text, graphics, logos, and software, is the property of Metriv Consulting and protected by copyright laws.
Confidentiality
Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the course of engagement. Specific confidentiality terms will be outlined in individual service agreements or non-disclosure agreements.
Limitation of Liability
To the maximum extent permitted by law:
- Metriv Consulting shall not be liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the fees paid by the client for the specific service giving rise to the claim
- We do not guarantee specific business results or outcomes
Warranties and Disclaimers
While we strive for excellence, our services are provided "as is" without warranties of any kind, express or implied. We make no guarantees regarding specific outcomes, revenue increases, or business results. Success depends on multiple factors including client implementation and market conditions.
Termination
Either party may terminate an engagement with written notice as specified in the service agreement. Clients are responsible for payment of all services rendered up to the termination date. Metriv Consulting reserves the right to terminate services immediately for non-payment or breach of terms.
Acceptable Use
You agree not to:
- Use our services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our website or services
- Reproduce, duplicate, or copy any content without permission
- Use our services to transmit spam or malicious code
Indemnification
You agree to indemnify and hold Metriv Consulting harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Dispute Resolution
Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Austin, Texas.
Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page. Continued use of our services after changes constitutes acceptance of the modified terms.
